3. Consulting Engagements
If you engage Datakafe for professional services:The details of scope, deliverables, fees, and timelines will be defined in a separate written proposal, statement of work (SOW), or Master Services Agreement (MSA).In the event of a conflict between these Terms and an executed SOW/MSA, the SOW/MSA prevails.Unless otherwise agreed, all consulting deliverables, custom code, and documentation are provided “as is” without ongoing warranty, except as stated in your contract.
Datakafe may use subcontractors or affiliates to deliver portions of the Services while maintaining overall responsibility.
4. Software Products and Licensing
For software tools or platforms developed by Datakafe:We grant you a non-exclusive, non-transferable, revocable license to use our products for internal business purposes only, subject to your compliance with these Terms and any applicable subscription agreement.You agree not to:Copy, reverse engineer, or modify our products;Use them for unlawful or competitive purposes;Exceed licensed usage limits or share access externally.
Datakafe retains all ownership and intellectual property rights in its software, APIs, models, and related documentation.
5. Your Data and Content
You retain ownership of all data, materials, and content you provide (“Your Data”).By submitting Your Data, you grant Datakafe a limited license to use, process, store, and display it solely to perform our Services and improve performance or security.
If you provide feedback or suggestions about our products, you grant Datakafe a perpetual, royalty-free license to use and incorporate it.
6. Payments and Billing
If you purchase consulting services or product subscriptions:Fees are specified in your order, proposal, or invoice.Payments are due within the timeframe indicated unless otherwise agreed in writing.All fees are non-refundable except as required by law or explicitly stated in your agreement.We may suspend or terminate access for non-payment.
7. Confidentiality
Both parties agree to protect each other’s confidential information and use it only for the purpose of performing under these Terms or an applicable engagement.This obligation does not apply to information that is public, independently developed, or obtained legally from another source.
8. Intellectual Property
Unless explicitly transferred under a consulting contract:Datakafe owns all intellectual property in its software, frameworks, templates, and deliverables.Clients own their proprietary data and pre-existing materials.Jointly developed intellectual property will be governed by the applicable written agreement.
9. Disclaimer of Warranties
The Services are provided “as is” and “as available” without any warranties of any kind, express or implied.Datakafe disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee uninterrupted or error-free operation of any software, or that all defects will be corrected.
10. Limitation of Liability
To the fullest extent permitted by law:Datakafe and its officers, employees, and partners are not liable for indirect, incidental, or consequential damages, including loss of profits, revenue, or data.Datakafe’s total liability for any claim shall not exceed the amount you paid to Datakafe in the 12 months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold harmless Datakafe and its affiliates against any claims, losses, or expenses arising from:Your misuse of the Services,Your violation of these Terms,or infringement of any third-party rights.
12. Termination
We may suspend or terminate your access if:You breach these Terms,Fail to pay amounts due, orEngage in unlawful or abusive conduct.
Upon termination, licenses end, and Datakafe may delete or anonymize stored data consistent with our data retention policies.
Sections 5–11 survive termination.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Maryland, without regard to conflict-of-law principles.Any disputes will be resolved through binding arbitration in Potomac, MD, except either party may seek injunctive relief in court for intellectual property or confidentiality breaches.
14. Modifications to These Terms
Datakafe may update these Terms periodically.We will post the revised version with a new “Last Updated” date.Continued use of our Services after changes means you accept the updated Terms.
